Our politics are taking on the flavor of business governance, while corporate governance is taking on aspects of political governance.

This week's events provide ample time for dissatisfied UNH investors to get involved in the next annual corporate election, by nominating candidates for the board or submitting shareholder proposals. The deadline to nominate is early April 2025.

An interesting data point from the 2024 Proxy: 2 of the Big Three asset managers (Vanguard & BlackRock) together own almost 17% of UNH's stock. This means a lot of Americans likely benefit from the insurer's high profits--do they also participate in oversight & elections? Do you? 10/x

In June 2024, UNH’s director election was uncontested. (It is typical in American corporate governance for the management slate of the board to run unopposed.) Voting results are disclosed in an 8-K after the election. Even though they all won, one candidate was less popular than the others: 7/x

The Proxy Statement helps clarify that Thompson was the CEO of a sub of parent UnitedHealth Group, Inc. He was a "Named Executive Officer." He did not serve on the 10-member parent company board. 6/x

The best place for info about UNH (exec comp, etc.) is the DEFINITIVE PROXY STATEMENT, also called the Schedule 14A or DEF 14A. This document is sent to all UNH shareholders before its virtual annual election in June. For example, here’s info in the 2024 Proxy about executive life insurance: 4/x
