Tesla also has ‘secret’ subsidiaries in the Netherlands, companies that are not registered at the address of the showroom in Amsterdam. According to the financial statements 2023 of the German Tesla Financial Services GmbH (TFSG) that lease claims were sold on paper to Awesome Range bv. Saillant detail: this bv was founded on 18 October 2023 with 1 euro of start-up capital. The sale, according to the financial statements of TFSG, concerned a non-true-sale-ABS-Transaktion. . That means the economic risk of this paper sale remained with the German subsidiary. Experts are in the dark about the reason for this transaction. The financial statements only state that the sale took place under Tesla’s financing strategy. In view of the target description of Awesome Range may involve claims related to lease contracts. Awesome Range bv has the sole shareholder Awesome Range Foundation. An Amsterdam trust office runs the foundation. On the same day as the bv and the foundation, Awesome Range ER Trustee Foundation was also established. Here, too, the only director is a trust office. In November 2022, VESPB Holdings NL bv was founded. The shares are held by VESPB LLC in the US state of Delaware, where Tesla has many subsidiaries. One of the objectives of this BV is the exploitation and acquisition of patents and trade names. It looks like a dormant company: the balance sheet of 2023 contains 1 euro. VESPB Holdings NL is also managed by a trust office.

Six of the seven Amsterdam Tesla entities fell under Tesla Motors Cooperative UA until December 20, 2023. On that day, that company was converted into Tesla Motors Holding bv. Who owned the shares at the time is unclear. However, it can be seen that exactly one year later, on December 20, 2024, the shares of the Tesla Motors Foundation came into the hands. After eleven days, she handed it over to the Swiss-based VESPB Global GmbH, which was founded just three days earlier. What is the intention of all these changes in the company structure is not clear, because in the annual reports the company also does not provide any explanation about this. Tesla does not answer questions from FTM.
