I thought it was share swap from junk X shares into xAi shares, so the backers of X ie. Saudis and Russian oligarchs get some potential investment back...Elon gets to pretend his shares worth something and not fly out a window or drink a Dodgy Russian tea .

Id say reason was his Saudi and Russian oligarchs who fronted most of the cash for X wanted some return from capital since X is now worthless...and he gave them xAi....I'm guessing he didn't want to fall out a window m
